A contract between Seller Online LLC and the client for the CRM and ordered services. The logistics terms and the goods policy supplement it.
Parties and scope
The provider is Seller Online LLC, a Pennsylvania, USA company. A client may be an individual, entrepreneur or organisation in Ukraine, the US or another country where the service is available and lawful. Clients must be at least 18 and have legal capacity; organisation representatives must be authorised.
Seller Online LLC address for contracts and legal notices: 635 Somers Ave, Feasterville-Trevose, PA 19053, USA. Contact for contracts and personal data: so-support@seller-online.com.
Formation and priority
The client accepts this agreement by registering in the CRM, ordering a service or otherwise expressly confirming agreement to it. Merely viewing the site is not acceptance. An order is accepted once its scope and price are agreed and Seller Online LLC confirms it. The current version of the agreement is available on this page.
Mandatory law takes priority, followed by a separately agreed contract or order within its scope, service-specific terms and this agreement. Third-party platform terms govern the relationship with that platform.
Services and roles
Clients may order the CRM, shop integrations, shipping arrangements, warehouse handling, returns, production and personalisation as available. The client remains the seller of its goods, responsible for the goods, descriptions and obligations to buyers.
Account and access
Provide current information, protect access and report compromised credentials. Grant staff only necessary individual permissions; the client is responsible for its authorised users. Identity checks are limited to necessary data and a justified purpose.
Shops and integrations
Connect only shops you are entitled to manage, using the platform’s available method. Permissions, features and retention periods depend on platform rules. Do not use obtained data for unauthorised marketing, selling data or circumventing restrictions.
A shop can be disconnected in the CRM or in the platform’s settings. After that, no new data arrives, and orders already imported stay in the CRM so the client can ship them. Retention and anonymisation follow the “Buyer data processing” section. Seller Online LLC does not guarantee third-party API availability.
The application is provided solely by Seller Online LLC. Etsy, Inc. and its affiliates are not its developer, do not provide our service and make no warranties about it or data obtained through it.
Buyer data processing
For buyer and recipient data that the client imports from its shops or enters in the CRM, the client is the controller and Seller Online LLC is the processor (the client’s service provider). This section is the parties’ data processing agreement, including for the purposes of Article 28 GDPR.
Processing lasts as long as the client uses the services. Its purpose is importing and handling orders, preparing shipments, warehouse operations, returns, production and support. Data: recipient name, address and contact details, order contents and shipment data. Data subjects: the client’s buyers and recipients. We do not process special categories of data.
- We process the data only on the client’s documented instructions — this agreement and the client’s actions in the CRM — and do not use it for our own purposes, advertising or sale. If the law requires other processing, we inform the client where permitted.
- Only persons who need access to provide the services and who are bound by confidentiality have access to the data.
- We apply the security measures described in the privacy policy.
- The client gives general authorisation to engage sub-processors: OVHcloud (hosting, Canada) and Amazon Web Services (backups, US). We give advance notice of any intended replacement or addition of a sub-processor; the client may object and stop using the service. We impose the same data protection obligations on sub-processors and remain responsible for their performance.
- A carrier receives recipient data only for a shipment the client creates and confirms in the CRM; the carrier handles that data under its own rules.
- Taking into account the nature of the processing, we help the client respond to individuals’ rights requests, ensure security, notify breaches and carry out data protection impact assessments.
- We notify the client of a personal data breach without undue delay; for data obtained through the Etsy API, no later than 24 hours after discovery, notifying Etsy at the same time.
- The client can export the available data and ask us at any time to delete its buyers’ data; we delete it on request. After the account is closed, we anonymise buyers’ personal data within three days, except data the law requires us to keep.
- We provide the client with the information needed to demonstrate compliance with this section and allow audits by the client or an auditor it appoints, with the timing and scope agreed in advance.
The client is responsible for the lawfulness of passing on buyer data and for the legal basis of its processing. International processing follows the privacy policy.
Prices and billing
We specify price, currency, taxes and additional charges before order acceptance. Shipping estimates may change after actual weight, dimensions or carrier adjustments are verified; on request we provide the basis and calculation of the extra charge. Disputed charges can be challenged through support.
The CRM subscription is paid per period at the rate shown on the pricing page and in the CRM. You can cancel the next period through support. A trial does not make shipping, materials or other paid operations free.
We announce price changes in advance. New prices apply to future periods and orders; we do not reprice accepted orders, except for extra charges based on actual shipment parameters.
Cancellation and funds
Contact support to arrange cancellation of a service not yet performed. Unused prepayments are refunded less the value of work already performed and costs actually incurred. On request we provide a calculation of the refund.
We investigate and correct mistaken or duplicate charges. Mandatory consumer withdrawal, refund and remedy rights remain.
Materials and data
The rightsholder retains rights to client files, designs and materials. The client grants a nonexclusive permission for actions needed to deliver ordered services, including involving relevant contractors. Using client materials in advertising requires separate permission. The permission ends when the services end, except for necessary lawful retention.
Personal data processing is described in the privacy policy, buyer data in the “Buyer data processing” section above. Third-party rights are described in the intellectual property notice.
Restriction and termination
We may restrict access to stop a material breach, security threat or unlawful operation, or to comply with law. Where possible we explain the reason and give time to remedy; immediate restriction is permitted where delay is unsafe or notice is legally prohibited.
Clients can request account closure through support. We arrange outstanding orders, return of goods and remaining funds, and export of available data. Closure does not cancel debts or claims. Client goods left in the warehouse are returned or disposed of after notice to the client and in accordance with law; until then storage is charged at current rates.
Liability
Each party is responsible for its own breaches and the losses they cause. Carrier liability is governed by the carrier’s terms. Declared value is not insurance.
To the extent permitted by law, neither party is liable for indirect losses or lost profits. A guaranteed service level (SLA) is provided only under a separate agreement. These provisions do not limit rights or liability that cannot lawfully be limited.
Law, disputes and changes
This agreement is governed by the law of Pennsylvania, USA. This does not deprive consumers of the mandatory protection of the law of their country of residence.
To resolve a dispute, first contact support; this does not restrict access to courts or regulators. We announce material changes to this agreement in advance by email or in the CRM; changes apply to future services. A client who does not accept the changes may stop using the services.
The language versions of this agreement have the same meaning. A discrepancy between them does not deprive the client of mandatory rights.
Notices and secure communications
Contract notices are sent to the account’s current email or through the CRM. We follow any different form required by law. Verify important payment-detail changes through support; do not disclose passwords or keys in response to unexpected requests.
